Terms of Service

1. Acceptance

These terms are an agreement between you and Loqu, Inc. (“Loqu”, “we”) governing the ggui.ai cloud service. You accept them by signing in or signing up where the service presents them, or by continuing to use the service after they take effect. If you use the service on behalf of an organization, you represent that you can bind that organization.

2. The service

ggui.ai is a hosted cloud service that generates and serves user interfaces described by AI agents. It is distinct from the GGUI open-source protocol and software, which are licensed under Apache-2.0 — that license governs the code; these terms govern the hosted service.

3. Accounts and eligibility

You must be at least 16 years old to use the service. Keep your credentials secure; you are responsible for activity under your account. Account information must be accurate and kept current.

4. Acceptable use

You may not use the service to violate law, infringe others’ rights, distribute malware or deceptive interfaces, probe or disrupt the service or its users, resell the service without authorization, or attempt to extract other customers’ data. We may suspend accounts that endanger the service or other users.

5. Customer content and licenses

“Customer” means the account holder. “Customer Content” means the content Customer and its agents submit and the interfaces generated from it — as between you and Loqu, Customer owns both. End-users of Customer’s applications are not parties to this ownership; their relationship runs to Customer.

Customer grants Loqu a license to host, store, cache, reproduce, adapt (including device-optimized variants and compiled forms), and reuse cached blueprints and generated interfaces solely to provide the service for Customer’s applications. The grant survives per-plan cache lifetimes and ends when content is deleted or the account terminates, subject to backup windows. Blueprints derived from Customer Content never seed other customers’ blueprint pools without Customer’s explicit opt-in.

5a. Data processing

Loqu processes Customer Content only as needed to provide the service and on Customer’s instructions. The subprocessors listed in the Privacy Policy are incorporated here. On termination we delete or return Customer Content, subject to the retention rules in the Privacy Policy. A separate data-processing agreement is available on request to privacy@ggui.ai.

5b. Published registry content

If you publish an artifact to the public registry, you grant Loqu a license to host, reproduce, distribute, and publicly display the artifact and its metadata through the registry, and you grant each installing user a license to install, copy, execute, and cache it within their applications. Licenses already granted to existing installs survive unpublication and account deletion. Report problematic registry content to hello@ggui.ai.

6. AI-generated output

Interfaces are machine-generated from natural-language descriptions. We do not warrant that generated output is accurate, complete, fit for a particular purpose, or free of third-party claims. Review output before relying on it in critical contexts.

7. Beta status

The service is in beta preview: features may change or be withdrawn, rates may be adjusted, and availability is not guaranteed. Service-level commitments, if any, will be published separately at general availability.

8. Fees and credit

Hosted use of the service is pay-as-you-go on a prepaid credit balance. There are no subscription plans and nothing renews automatically. Each render is charged at the rates published at ggui.ai/pricing: one rate for a render generated fresh, a lower rate for a render served from a cached blueprint, and a platform rate for renders made with your own model key, which is drawn from the same balance, so a zero balance refuses those renders too. The rates are the same for every account. A generation that fails is not charged. Larger models are enabled per account on request, not by default; once enabled they are charged per model, at the published rate, in addition to the render rate, and a render that requests a model your account is not enabled for is refused.

New accounts receive a one-time welcome credit of $5 with no payment method required, one per account; it does not expire. Welcome and other promotional credits have no cash value, are non-refundable, and may be revoked. Credit top-ups are processed by Stripe (currently $5–$1,000 per top-up). Purchased credits do not expire and are non-refundable except where the law requires otherwise. A final render may drive your balance negative; further renders are blocked until you top up. You may set a spending cap on your application at any time. If a payment is reversed or disputed, we may reverse the corresponding credit and suspend the account until resolved.

Prices are quoted before tax; applicable taxes are calculated and added at checkout based on the billing address and any tax identification you provide. Prices are set in US dollars. Checkout may present and charge the equivalent in your local currency at the exchange rate shown at checkout; because that rate moves, the local amount of one top-up can differ from the next. A refund is returned at the rate of the original charge. You may choose to pay in US dollars at checkout. Rate changes take effect with prior notice as described in section 15.

9. Intellectual property

The service, including its software, design, and branding, is Loqu’s or its licensors’ property. The open-source components remain under their own licenses. To report content that infringes your copyright, email hello@ggui.ai with the material identified, its location, your contact information, and a good-faith statement of infringement; we will remove or disable access to infringing material where appropriate.

10. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate accounts for breach of these terms, legal necessity, or extended non-payment, with notice where practicable. Sections 5–6 and 9–14 survive termination.

11. Disclaimers and limitation of liability

The service is provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and Loqu’s aggregate liability under these terms is capped at the greater of the fees you actually paid Loqu in the twelve months preceding the claim or $100. Purchased credit top-ups count as fees paid; promotional credits do not.

12. Indemnification

You will defend and indemnify Loqu against third-party claims arising from your content, your applications, or your breach of these terms, provided we promptly notify you and reasonably cooperate.

13. Governing law and dispute resolution

These terms are governed by Delaware law, excluding its conflicts rules. Before filing a claim, the parties will attempt informal resolution: written notice to hello@ggui.ai (or to your account email, from us) and thirty days to resolve. Any claim not resolved informally must be brought exclusively in the state or federal courts located in Delaware, and each party waives objection to that venue.

14. Miscellaneous

Notices to Loqu go to hello@ggui.ai; notices to you go to your account email. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If a provision is unenforceable, the remainder stands. These terms and the Privacy Policy are the entire agreement about the service.

15. Changes to these terms

Material changes are announced by email to your account address together with a dated update to this page; non-material edits update the “Last updated” date only. Continued use after the announced effective date constitutes acceptance. Prior versions are available on request via privacy@ggui.ai.
